SAP Extends Offer to Acquire Sybase, Inc.

SAP has extended its tender offer for Sybase. Originally set for 1 July, its deadline has been reset to 16 July as regulators examine the proposed deal worth A$6.5 billion.

Except for the extension of the tender offer, all other terms and conditions of the tender offer remain unchanged. It has been extended because certain conditions to the tender offer have not yet been satisfied, including approval of the European Commission under European Union merger regulations. As of 1 July 2010, 87,780,002 shares of common stock of Sybase were issued and outstanding, and 72,515,333 shares of common stock of Sybase have been tendered into.

SAP’s strategy is to use Sybase's technology to extend its own software into the mobile market.

"Mobile devices are becoming the preferred interaction point with business applications, whether the user is a factory supervisor, a retail manager or an entrepreneur in a developing nation," said Jim Hagemann Snabe, co-chief executive of SAP when the deal was announced in May 2010.

It is planned to finalise the deal by the end of 2010.
